Terms & Conditions

Last updated: 8 October 2026

These Terms & Conditions (“Terms”) govern your use of autorouttools.com (the “Site”) and any supply of goods by Ningbo Realine Tools Co., Ltd. (“Realine Tools”, “we”, “us”, “our”). AUTOROUT is our own brand.

By using the Site, requesting a quotation, or placing an order, you accept these Terms. If you do not accept them, please do not use the Site or order from us.

1. Business-to-Business Only

The Site and our supply of goods are directed exclusively at businesses — importers, distributors, wholesalers, retailers and OEM/ODM customers. They are not directed at, and must not be relied upon by, consumers or private individuals.

By using the Site or ordering, you confirm that you are acting in the course of a business, that you have authority to bind that business, and that you are at least 18 years old.

2. Website Use

You may view and use the Site for legitimate business purposes. You must not:

  • use the Site unlawfully, or in any way that damages, disables or overloads it;
  • scrape, crawl or systematically extract content, product data or images, except for ordinary search-engine indexing;
  • attempt to gain unauthorised access to the Site, its servers or any connected system;
  • copy, reproduce or republish our content, photographs or product images for commercial use without our written permission; or
  • submit false, misleading or abusive content through our forms.

3. Product Information Is Not an Offer

Product descriptions, specifications, photographs, dimensions, performance figures and certification references on the Site are provided for general information. They are not an offer capable of acceptance, and they do not form part of any contract.

Product designs and specifications are subject to change without notice as part of our ongoing improvement programme. Illustrations may show options, accessories or packaging that are not included as standard. Please confirm the specification in writing before ordering.

4. Quotations

Quotations we issue are valid for 30 days from the date of issue unless we state otherwise in writing, and are subject to:

  • the specification and quantity quoted;
  • confirmation of stock, materials and production capacity at the time of order; and
  • final confirmation in a written order confirmation issued by us.

Quotations are not binding on us until we issue an order confirmation.

5. Orders and Order Confirmation

An order is only accepted when we issue a written Order Confirmation. The Order Confirmation, together with these Terms and any specification we have agreed in writing, forms the entire agreement between us.

If there is any conflict, the order of precedence is: (1) the agreed written specification, (2) the Order Confirmation, (3) these Terms. Any terms you propose that differ from these Terms do not apply, even if you send us your own purchase-order terms, unless we agree to them in writing and signed.

6. Samples

Samples are provided for evaluation and are ordinarily chargeable, including freight, unless we agree otherwise in writing. For customised projects, sample lead time is typically around 30 days from our receipt of your confirmed specification, artwork and any applicable sample fee. Sample charges are not automatically credited against a subsequent order.

7. Minimum Order Quantity

Minimum order quantities vary by model and by customisation. The applicable MOQ is stated in the quotation. We may, at our discretion, accept smaller trial orders with adjusted pricing.

8. Prices, Taxes and Payment

Prices are exclusive of taxes, duties and charges unless the quotation states otherwise. Unless agreed otherwise in writing, the payment terms are [[FILL: e.g. 30% deposit on order confirmation, 70% before shipment]], by [[FILL: e.g. bank transfer (T/T)]], in [[FILL: e.g. USD]].

We may suspend production or shipment if any payment is overdue, and any agreed delivery date will be extended by the period of the delay.

Bank charges are borne by the party instructed to pay them. Any withholding tax you are required to deduct must be grossed up so that we receive the full invoiced amount.

9. Delivery, Title and Risk

Unless the quotation or Order Confirmation states otherwise, delivery is made on [[FILL: e.g. FOB Ningbo]] Incoterms® 2020 terms. Risk in the goods passes as set out in the applicable Incoterm. Title in the goods passes only when we have received payment in full.

Delivery dates are estimates given in good faith. We are not liable for delay caused by events outside our reasonable control (see section 16). Partial shipments are permitted unless we agree otherwise.

Where we quote a delivery date, it runs from the later of: our receipt of your deposit or letter of credit, our receipt of your confirmed artwork and specification, and our receipt of any approvals or items required from you.

10. Inspection and Acceptance

You must inspect the goods on arrival and notify us in writing of any shortage, visible damage or apparent defect within [[FILL: e.g. 7 days]] of receipt. If you do not, the goods are deemed accepted.

Defects that could not reasonably have been discovered on inspection must be notified within the warranty period in section 11.

11. Warranty

We warrant that the goods will, at the time of shipment, conform to the agreed specification and be free from defects in materials and workmanship for a period of [[FILL: e.g. 12 months from the date of shipment]].

If a valid claim is made within the warranty period, we will, at our option, repair, replace or credit the defective goods. This warranty does not cover:

  • normal wear and tear, consumables, or cosmetic deterioration;
  • defects caused by misuse, unauthorised modification, improper installation or incorrect power supply;
  • goods used outside the operating conditions stated in the specification;
  • goods supplied to your own design or specification; or
  • goods that have been disassembled or repaired by anyone other than us.

Replacement goods carry the balance of the original warranty period. This section sets out your exclusive remedy for defective goods.

12. Certifications and Regulatory Compliance

Our products are designed and tested to meet the standards identified in the relevant documentation, such as CE, FCC and RoHS where applicable. Documentation and test reports for a model are available on request.

Compliance requirements differ between markets. Unless we expressly agree otherwise in writing, you are responsible for confirming that the goods meet the regulatory, labelling, packaging, language and certification requirements of your destination market, and for obtaining any import licence, registration or market-specific approval required.

13. Intellectual Property

All intellectual property rights in the Site and in our products belong to us or our licensors. This expressly includes our pump core designs, PCB layouts, firmware and tooling, together with our trademarks, product photography and content.

You may not reverse-engineer, copy or otherwise reproduce our products or any part of them, or register or attempt to register any trademark, design or domain name confusingly similar to AUTOROUT or our other marks.

For goods manufactured to your own design, you retain your rights in your own design and brand, and we acquire no rights in them beyond what is needed to manufacture and supply the goods to you.

14. OEM / ODM and Customer Branding

Where we produce goods under your brand or to your design:

  • you warrant that you own or have all necessary rights and licences in the brand, logos, artwork and design you supply, and that our use of them does not infringe any third party’s rights;
  • you grant us a non-exclusive licence to use that material solely to manufacture, package and supply the goods to you;
  • you will indemnify us against any claim arising from your branding or design, including third-party intellectual-property claims; and
  • unless otherwise agreed in writing, tooling and moulds we design or commission remain our property, even where you have contributed to their cost.

15. Confidentiality

Each party will keep confidential any non-public business, technical or commercial information received from the other in connection with a quotation or order, including specifications, drawings, tooling information, pricing and customer details, and will use it only for the purposes of our dealings.

This does not apply to information that is or becomes public without breach, that was already lawfully known to the receiving party, or that must be disclosed by law. These obligations outlast the end of our business relationship.

16. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, epidemic or pandemic, war, civil unrest, government action, export or import restrictions, customs delays, freight or port disruption, energy or raw-material shortages, or failures of our own suppliers or carriers.

If such an event continues for more than [[FILL: e.g. 90 days]], either party may cancel the affected order in writing without liability, except that you must pay for goods already produced or committed.

17. Limitation of Liability

To the fullest extent permitted by law:

  • our total liability arising out of or in connection with an order is limited to the amount you have paid us for the goods giving rise to the claim;
  • we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill, loss of data, or costs of substitute goods; and
  • we are not liable for any loss to the extent it is caused or contributed to by your acts, omissions, instructions, designs or delay.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

18. Termination

We may suspend or terminate our dealings with you immediately if you breach these Terms, become insolvent, or fail to pay any amount when due. Termination does not affect rights and obligations already accrued, including your obligation to pay for goods produced or committed.

19. Governing Law and Dispute Resolution

These Terms and any contract formed under them are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

The parties will first attempt to resolve any dispute through good-faith negotiation. If the dispute is not resolved within [[FILL: e.g. 30 days]], it shall be referred to and finally resolved by [[FILL: choose one — (a) arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) under its rules, seated in [city], with the proceedings conducted in English; or (b) the competent court at [venue], China]].

The language of the proceedings shall be English. Nothing in this section prevents either party from seeking urgent interim relief from a competent court.

20. Changes to These Terms

We may update these Terms from time to time. The version published on the Site at the time you place an order, or the version attached to your Order Confirmation, is the version that applies to that order. The “Last updated” date above shows when this version was published.
